These Terms of Service (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “Client”) and Apex Studios, governing your access to and use of our website (apexstudioshub.com) and our business transformation services.
By accessing our website, purchasing our services, or using any of our deliverables, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you do not agree to these Terms, you must not access or use our website or services.

2. Service Descriptions
Apex Studios operates as a business transformation ecosystem, delivering strategic frameworks and deliverables through six specialized studios. All services are designed for founder-led, owner-operated businesses with 0-15 employees generating $500K-$5M in revenue.
2.1 Business Studios
Strategic business frameworks ranging from Self-Serve ($497) to Elite ($5,997). Deliverables include business model analysis, growth roadmaps, competitive positioning strategies, and actionable recommendations. All deliverables provided in PDF format within 5-7 business days.
2.2 SEO Studios
SEO-optimized content for improved search visibility and conversions. Options include Blog Content (monthly subscription, $997-$3,997/month) and Website Copy (one-time fee, $1,697-$7,997). Optional Done-For-You implementation available (+$300-$500).
2.3 Financial Studios
Comprehensive financial planning frameworks including cash flow analysis, budget optimization, and financial forecasting. Monthly subscription tiers: $346-$1,065/month. Deliverables in PDF format within 5-7 business days of each billing cycle.
2.4 Operations Studios
Process optimization frameworks, workflow efficiency strategies, and operational scalability plans. Monthly subscription tiers: $346-$1,065/month. Deliverables in PDF format within 5-7 business days of each billing cycle.
2.5 Growth Studios
Customer acquisition strategies, retention optimization frameworks, and revenue growth roadmaps. Monthly subscription tiers: $346-$1,065/month. Deliverables in PDF format within 5-7 business days of each billing cycle.
2.6 Web Studios
Custom website development with SEO optimization and conversion-focused layouts. Service tiers: Basic ($2,497), Professional ($4,497), Premium ($5,997). API integration setup available at additional cost. Complete website delivered within 5-7 business days.
2.7 Business Suite Bundles
Bundle multiple studios for cost savings of 15-30%. Bundle pricing calculated through our bundle calculator. All bundled services subject to individual studio terms.
2.8 Transformation Programs
Quarterly-delivered adaptive frameworks. Program tiers: Foundation ($12,767/year), Growth ($17,229/year), Scale ($32,947/year), Elite ($45,141/year). Quarterly strategic reports delivered in PDF format.
3. Pricing, Payment Terms, and Billing
3.1 Pricing
All prices are listed in Canadian Dollars (CAD) unless otherwise specified. Prices are subject to change at any time, but changes will not affect orders already placed or active subscriptions until the next billing cycle.
3.2 Payment Terms
One-Time Services: Full payment required at purchase. Subscription Services: Payment processed automatically monthly. First payment due at subscription time.
Accepted Payment Methods: Credit card (Visa, Mastercard, American Express), debit card, and electronic bank transfer via secure payment processors (Stripe, QuickBooks).
3.3 Billing Cycles
Monthly Subscriptions: Billed on the same day each month as initial subscription date. If subscription date is 29th, 30th, or 31st, billing occurs on the last day of months with fewer days.
3.4 Failed Payments
If payment fails, we will attempt reprocessing within 3 business days and send email notification. Service delivery suspended after 7 days of non-payment. Subscription cancelled after 14 days of non-payment.
3.5 Taxes
Prices do not include applicable taxes (GST, HST, PST, or QST). You are responsible for all applicable taxes based on your location. Taxes calculated and added at checkout.
4. Delivery Guarantee and Timelines
4.1 5-7 Day Delivery Commitment
We guarantee delivery of all one-time deliverables within 5-7 business days from project initiation. Project initiation begins when:
- Payment is received in full
- You have completed the required intake form
- All necessary information has been provided
Business days are defined as Monday through Friday, excluding Canadian statutory holidays.
4.2 Subscription Service Delivery
For monthly subscription services, deliverables provided within 5-7 business days of each billing cycle, provided all required information submitted.
4.3 Project Initiation Requirements
To initiate your project, you must:
- Complete the intake form (typically 15-30 minutes)
- Provide all requested business information
- Respond to clarification requests within 48 hours
Failure to provide required information may delay project initiation and delivery timelines.
5. 100% Money-Back Guarantee
5.1 Guarantee Terms
We offer a 100% Money-Back Guarantee on on-time delivery. If we fail to deliver your complete deliverables within 5-7 business days from project initiation, you are entitled to a full refund—no questions asked.
5.2 Guarantee Conditions
Guarantee Applies When:
- Payment has been received in full
- You have completed the intake form within 48 hours of purchase
- All required information has been provided
- You have responded to clarification requests within 48 hours
- We fail to deliver within 5-7 business days from project initiation
Guarantee Does NOT Apply When:

5.3 Satisfaction Disclaimer
This is NOT a satisfaction guarantee. The 100% Money-Back Guarantee applies exclusively to delivery timelines, not to your satisfaction with deliverables, effectiveness of strategies when implemented, business results, your ability to implement frameworks, or differences in strategic approach.
All deliverables are provided as strategic frameworks and recommendations. Results depend on your implementation, market conditions, and numerous factors outside our control.
5.4 How to Request a Refund
To request a refund:
- Email us at refunds@apexstudioshub.com within 7 days of the missed deadline
- Include your order number and project details
- Confirm that you met all guarantee conditions
Refunds processed within 5-10 business days via original payment method.
6. User Responsibilities and Implementation
6.1 Client Responsibilities
You are responsible for:
Information Provision:
- Providing accurate, complete, and truthful information in intake forms
- Responding to clarification requests within 48 hours
- Ensuring all business information is current and accurate
Implementation:
- You are solely responsible for implementing all strategies, frameworks, and recommendations provided by Apex Studios
- Adapting strategies to your specific business context
- Executing recommendations at your own pace and discretion
- Ensuring compliance with all applicable laws and regulations during implementation
Account Management:
- Maintaining confidentiality of your account credentials
- Notifying us immediately of any unauthorized account use
- Keeping your contact information and payment details current
- Reviewing deliverables promptly upon receipt
6.2 Implementation Disclaimer
Apex Studios provides strategic frameworks, recommendations, and deliverables. We do NOT implement strategies on your behalf (except for optional Done-For-You add-ons for SEO Studios and Web Studios implementation).
You acknowledge and agree that:
- Implementation is entirely your responsibility
- We provide guidance, not execution
- Results depend on your implementation quality, timing, and market conditions
- We are not responsible for implementation challenges or outcomes
6.3 Professional Advice Disclaimer
Our services do not constitute professional legal, financial, accounting, or tax advice. We recommend consulting with qualified professionals (lawyers, accountants, financial advisors) before making significant business decisions.
7. Intellectual Property Rights
7.1 Apex Studios Intellectual Property
All content, materials, frameworks, methodologies, templates, designs, logos, trademarks, and other intellectual property on our website and in our deliverables (“Apex Studios IP”) are owned by or licensed to Apex Studios and protected by Canadian and international copyright, trademark, and intellectual property laws.
7.2 License to Use Deliverables
Upon full payment, we grant you a non-exclusive, non-transferable, limited license to use deliverables for your internal business purposes only.
You MAY:
- Use deliverables to inform your business strategy and decision-making
- Implement recommendations within your own business operations
- Share deliverables with employees, contractors, and advisors who need access for implementation
- Adapt frameworks to your specific business context
You MAY NOT:
- Resell, redistribute, or sublicense deliverables to third parties
- Use deliverables to provide consulting or advisory services to others
- Publicly publish or display deliverables without our written consent
- Remove or alter any copyright, trademark, or proprietary notices
- Reverse engineer or extract our proprietary methodologies for commercial use
- Claim ownership of Apex Studios’ frameworks, templates, or methodologies
7.3 Client-Provided Information
You retain all ownership rights to information, data, and materials you provide to us (“Client Information”). By providing Client Information, you grant us a limited license to use it solely for creating your deliverables. We will not share your Client Information with third parties or use it for purposes other than creating your deliverables.
8. Limitation of Liability
8.1 Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, APEX STUDIOS PROVIDES ALL SERVICES AND DELIVERABLES ON AN “AS-IS” AND “AS-AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We specifically disclaim all warranties, including:
- Merchantability or fitness for a particular purpose
- Non-infringement of third-party rights
- Accuracy, completeness, or reliability of deliverables
- Uninterrupted or error-free service
- Results or outcomes from implementing our recommendations
8.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL APEX STUDIOS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO APEX STUDIOS IN THE 12 MONTHS PRECEDING THE CLAIM.
8.3 No Guarantee of Results
We make no guarantees regarding:
- Business results or financial outcomes from implementing our strategies
- Increased revenue, profitability, or market share
- Customer acquisition, retention, or satisfaction
- Search engine rankings or website traffic
- Success of your business or achievement of your goals
Business success depends on numerous factors outside our control, including market conditions, competition, execution quality, and timing.
9. Refund and Cancellation Policy
9.1 One-Time Services
One-time service purchases (Business Studios, Web Studios, SEO Studios Website Copy) are non-refundable except under our 100% Money-Back Guarantee for missed delivery deadlines (Section 5).
9.2 Subscription Services
You may cancel subscription services (SEO Studios Blog Content, Financial Studios, Operations Studios, Growth Studios, Transformation Programs) at any time by emailing support@apexstudioshub.com.
Cancellation Terms:
- Cancellation effective at the end of the current billing cycle
- No refunds for partial months or unused services
- No refunds for services already delivered
- Cancellation does not affect your right to use previously delivered deliverables
9.3 Bundle Cancellations
If you cancel one service in a Business Suite Bundle, remaining services may be repriced at standard rates.
9.4 Refund Processing
Approved refunds processed within 5-10 business days via original payment method. Your financial institution may take additional time to process the refund.
10. Acceptable Use Policy
You agree not to use our website or services for any unlawful, fraudulent, or harmful purposes, including:
- Violating any applicable laws, regulations, or third-party rights
- Transmitting viruses, malware, or harmful code
- Attempting to gain unauthorized access to our systems
- Interfering with our website or services
- Harassing, threatening, or abusing our staff
- Providing false or misleading information
- Infringing on intellectual property rights
- Engaging in fraud, money laundering, or illegal activities
- Reverse engineering or attempting to extract our proprietary methodologies
- Reselling our services without authorization
We reserve the right to suspend or terminate your account if you violate this Acceptable Use Policy.
11. Termination
11.1 Termination by You
You may terminate your account at any time by emailing support@apexstudioshub.com. Termination of your account does not relieve you of payment obligations for services already delivered or subscription fees owed.
11.2 Termination by Apex Studios
We may terminate your account or suspend your access to our services immediately, without notice, if you:
- Violate these Terms or our Acceptable Use Policy
- Engage in fraud or illegal activity
- Fail to pay for services after 14 days of non-payment
- Harass or threaten our staff
- Infringe on our intellectual property rights
11.3 Effect of Termination
Upon termination:
- Your right to use our services immediately ceases
- You remain responsible for all outstanding payment obligations
- Your license to use deliverables continues for your internal business purposes
- Sections 7 (Intellectual Property), 8 (Limitation of Liability), and 13 (Governing Law) survive termination
12. Dispute Resolution
12.1 Informal Resolution
If you have a dispute with Apex Studios, please contact us first at support@apexstudioshub.com to attempt informal resolution. We will respond within 10 business days.
12.2 Mediation
If informal resolution fails, either party may request non-binding mediation before pursuing legal action. Mediation costs split equally between parties.
12.3 Arbitration
Any dispute not resolved through informal resolution or mediation shall be resolved through binding arbitration under Canadian Arbitration Act rules, with one arbitrator, in Quebec. Arbitration conducted in English. Each party bears its own costs unless arbitrator determines otherwise.
12.4 Class Action Waiver
You agree not to participate in class actions or class arbitrations against Apex Studios. All disputes must be resolved individually.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to its conflict of law principles.
You irrevocably submit to the exclusive jurisdiction of the courts of Quebec for any legal proceedings arising out of or relating to these Terms.
14. Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices, legal requirements, or other factors. We will notify you of material changes by:
- Posting the updated Terms on our website with a new “Effective Date”
- Sending you an email notification if changes are significant
- Requesting your consent if required by applicable law
Your continued use of our website and services after changes are posted constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
